Introduction

Mission

Strengthening Itasca are communities through public access media.

 

Goals

To increase the number of locally produced quality programs, provide trained staff for a growing market, involve volunteers with leadership opportunities, and provide for the dissemination of diversified opinions and accurate facts.

 

Scope of Influence

ICTV’s scope of influence is the Itasca County Region.  Subscribers on the Mediacom Communications network and Paul Bunyan Telephone Cooperative network receive some and/or all ICTV programming.  ICTV Communities include Grand Rapids, Grand Rapids Township, Cohasset, LaPrairie, Deer River, Dora Lake , Wirt, Inger, Nashwauk (1 channel) Keewatin (1 channel), Harris Township, Calumet, Marble, Taconite and the Koochiching County Community of Northome.

 

ICTV is a non-profit 501(c) 3 non-discriminatory corporation.  It is the policy of ICTV to encourage community members to utilize ICTV channels to communicate and educate cable subscribers with accurate, non-biased, and enriching programming.  ICTV, as a non-profit, cablecasting station, does not restrict access to any person, business, governmental agency, organization, school, college or church in accordance with this policy manual developed by the ICTV Board of Directors.

 

Channel designations

ICTV currently provides three sets of cablecasts for two television cable operators.  The operators are Mediacom Communications and Paul Bunyan Telephone Cooperative. This cablecast authority is established through an operating agreement with the Grand Rapids Area Cable Commission, a joint powers board, enforcing franchise agreements of five governments with the cable companies. Paul Bunyan Telephone Cooperative further offers ICTV programming to several cities which receive cable through an open video system.

 

The channels on which ICTV cablecasts are:

   Information Central      Channel 5 Mediacom, Channel 35 Paul Bunyan

   Government Access     Channel 7 Mediacom, Channel 37 Paul Bunyan

 

Governance

A board of directors oversees this non-profit organization that is registered with the State of Minnesota and the IRS as a charitable organization. The Board of Directors is chosen from within the ICTV membership and its leadership is ratified by the membership at the annual meeting.  

                          

Officers include the president, vice-president, treasurer, secretary and past president.

 

Standing Committees include:  Finance, Marketing, Personnel, Executive, and Programming.  Other committees are appointed by the board as necessary to fulfill ICTV’s mission.

 

Daily operations of ICTV are assigned to the executive director.

 

Staff

The Board of Directors puts in place an executive director whose task it is to maintain sufficient staffing to cover the operations and fulfill the mission.

 

Funding

ICTV is funded by the Grand Rapids Area Cable Commission, ICTV members, ICTV underwriters, service income, grants and donations.

Volunteers play an important role in ICTV.  Some of the tasks they accomplish include:

Individuals interested in volunteering may do so by contacting the ICTV office.

Members

Members add a level of community ownership to ICTV.  They keep the station in tune to the activities of the community and share some of the ICTV resources.  ICTV also keeps members up-to-date on the latest developments at the station through “ICTV Innovations,” a quarterly newsletter available in hard copy or email. Membership is divided into categories described below. The membership fees are listed in our fee appendix.

 

Personal Support Categories

Stage Hands:  This entitles members to receive on-air recognition, seasonal newsletters, camera training and equipment check-out, participation in our annual meeting and a tour of the production studio.  

 

On-Air Crew:    Crew-level supporters receive on-air recognition, seasonal newsletters, access to camera training and equipment check-out, access to an introduction to editing, participation in our annual meeting, log-in for premier video-on-demand, and tour of the ICTV production studio. 

 

Video Benefactor:   This entitles members to receive on-air recognition at the benefactor level, seasonal newsletters, access to camera training and equipment check-out, access to an introduction to editing, participation in our annual meeting, log-in for premier video-on-demand, and a tour of the production studios. 

 

Business and Organizations Support Categories

Cable Casting:  Designed for small businesses and non-profit membership, Cable Casters receive seasonal newsletters, a personalized informational interview for broadcast (Know Your Community), on-air recognition at the Cable Casting level, access to camera training and an introduction to editing, options for additional program underwriting, log-in for premier video-on-demand, a tour of the production studios and an invitation to the annual meeting reception.

 

Access Patron:   Large companies and non-profits are encouraged to support ICTV at the patron level. Patrons receive seasonal newsletters, a personalized informational interview for broadcast (Know Your Community), access to camera training and an introduction to editing, a tour of the production studios, program participation options, options for additional program underwriting, log-in for premier video-on-demand, weekly news scrolls and an invitation to the annual meeting reception.

 

 

KNOW YOUR COMMUNITY

 

This program is available to members of ICTV at the Cable Cast Donor or Access Patron level.  Members have the opportunity to come to the studio and be interviewed as a way of communicating with the general viewing audience their position in the community, service to the community, location and availability.  It is an informational interview, not promotional. ICTV asks that members recording a KYC compile a list of questions that pertain to the organization prior to the taping day.  The total number of individuals to be recorded is limited to three per membership.  For the KYC program, ICTV will provide the host for this interview. 

 

 


 

 

 

Programming

Submitted programming

As a public access station, ICTV accepts works to be cablecast to Mediacom and Paul Bunyan area cable subscribers.  The following guidelines shall be used for materials submitted for airtime.

 

Air time

 

v      ICTV accepts works from individuals residing in the Itasca County region. 

 

v      Works that may have a regionwide or statewide impact may also be submitted, but airtime will be at the discretion of the executive director and operations manager.

 

v      There is no charge to cablecast submitted materials.

 

v      Text-only may be submitted for the bulletin board (see separate policy)

 

v      Scheduling of programs will be at the discretion of staff.

 

v      Programs determined obscene, slanderous, or profane by community standards or by FCC guidelines will not be aired.

 

v      Programs should be submitted in DVD format.

o        Programs may also be accepted in mini-dv or in MPEG 2 on a flash drive if prearranged.  Programs recorded using other formats may be submitted, but individuals may be asked to leave their cameras so that staff may download the material to an acceptable medium.  Examples include 8 mm, or Hi 8 formats.

 

v      Programs must have appropriate leaders/identification and labeling.

 

v      Individuals submitting materials must leave contact information with ICTV in the event that there are any problems with the material.

 

v      Individuals submitting materials for cablecasting on ICTV agree to indemnify and hold harmless Itasca Community Television, Inc., its directors, officers and staff against any claims arising out of the use of the program material to be cablecast or including by not limited to claims in the nature of libel, slander, invasion of privacy or publicity right, non-compliance with applicable laws and unauthorized use of copyright material.  The individual submitting material is responsible for obtaining all necessary clearances and arrangements with program owners and all necessary ownership and royalty rights will be obtained including copyright and performing right.  The user will bear all responsibility for all program content and any consequences or program production and distribution on the access channel(s). A copy of the form is attached.

 

v      Programs with third-party sponsors are not acceptable unless pre-approved by the executive director.

 

v      Commercial material shall not be accepted.

 

v      ICTV can not accept advertisement or promotional videos for profit entities.

 

 

COMMUNITY BULLETIN BOARD

 

The ICTV bulletin board is to inform the community of public activities such as meetings, craft shows, performing arts etc. The bulletins play with background audio provided by 91.7 KAXE on all three channels when ICTV programming is not schedule to run.  Non-profit organizations may use this service to inform viewers of activities or fundraisers, but individuals and businesses may not use this service to advertise for personal or business gain. 

 

Items to be submitted to the community bulletin board may be delivered via fax, e-mail, mail, or in person.   ICTV cannot take bulletin messages over the phone. A bulletin board sample form is attached.

 

The item will be posted and run for two weeks prior to the event and will air on Mediacom Channels 2, 5, & 7 or Paul Bunyan channels 32, 35 & 37. There is no charge for this service. ICTV maintains the right to edit material.  ICTV may submit material for a community wide online calendar with submitted material.

 

Event cancellations are also taken due to adverse weather; however, ICTV cannot guarantee that run-time.  Organizers should always use alternative sources of information to make sure that cancellations are directed to those most likely to attend your meetings.

 

 

ICTV Programming

 

ICTV produces a large portion of programming either in the studio or within the viewing communities. ICTV management makes decisions on what to record based on the following guidelines:

 

  • Government coverage will be accomplished with the local governments as per arrangement with the cable commission or the individual community.

 

  • Programming arranged by ICTV in the studio must have a direct link to our community:
    • Is it of public interest?
    • Will the guests present an understandable program of the issues?
    • Will airing the program support the mission of strengthening our communities?
    • Is the entertainment or artistic presentation representative of our area arts world?
    • Does it support or further education?
    • Is it non-commercial?

 

  • ICTV welcomes suggestions for producing community events and activities and will accomplish as many community programs as staffing allows. 

 

  • Programming produced by ICTV is copyrighted by ICTV.  Copies may be made and sold by ICTV.

 

  • Material produced through ICTV may also be used all or in-part as part of news programs on ICTV. 

 

  • Individuals recommending regular programming or a series to be produced by ICTV shall create a premise statement to submit to the Program Committee. Contact the executive director for direction on this process. 

 

 

        Political programming

ICTV welcomes the open discussion of issues related to public office and will support the presentation of these discussions.

 

ICTV will host election forums for lead offices of a government (mayor, commissioner, council member, board president) as possible.

 

At minimum, each candidate for local, regional, state or federal office representing a community in the ICTV viewing area will receive 5 minutes on-air to discuss his or her position. These appearances will be arranged with the Operations Manager and shall occur no later than the Friday, two weeks prior to the election. 

 

ICTV retains the right to schedule, record and air forums and discussions, as applicable on any issues of ballot.  These may or may not include incumbent officers or individuals seeking office.

 

During an election year, ICTV retains the right to report pertinent news on the local, state or federal level with the involvement of individuals currently holding office who may by up for re-election.

 

Government programming with entities providing Direct Funding to ICTV

ICTV receives funding from franchise fees collected from cable television providers as a fee for professional service through the Grand Rapids Area Cable Commission, a joint powers board.  Current parties to the joint powers board are: the Cities of Grand Rapids, Cohasset and LaPrairie and the Townships of Grand Rapids, and Harris.

 

ICTV records and prepares for cablecasting the regular meetings of these entities as outlined in an operating agreement.

 

The County of Itasca provides financial support to ICTV separately.  The regular county board meetings as well as a reasonable number of regular county commissions are covered by ICTV staff.

 

ICTV, at its discretion, may also record and cablecast other governmental meetings that it deems would serve to provide good information to the public and that fit within staff scheduling. 

 

Government programming for entities without direct Funding to ICTV

ICTV cablecasts meetings of several other governmental entities within the Itasca County service area.  As a public access station, ICTV accepts schedules and cablecasts these meetings. 

 

Itasca County communities may record and cablecast their information in one of the following ways.

1.                          Join ICTV as a member, train a volunteer or staff member to use ICTV equipment, and check out the equipment to record the meeting/event.

2.                          Record the event using other equipment or videographers and provide a copy to ICTV, Inc.

3.                          Hire ICTV staff to record the event off the standard rate chart.

 

Examples of how governments have accomplished airing on ICTV include: Nashwauk City Council provides its proceedings on tape for ICTV. A citizen group, as a member of ICTV, occasionally borrows equipment and tapes a township meeting for airing on ICTV.  The IRRR provides DVD copies of its proceedings.

 

Cities not covered by direct funding arrangements may show their appreciation to ICTV in the form of underwriting its broadcasts and/or joining as members. Whether or not an Itasca County governmental entity chooses to provide underwriting or joins as a member will not impact the scheduling of programs.  Current underwriting costs are available through the executive director.

 

ICTV may also air regional, statewide or federal issues of significance via the government channel

 

Air Time

Air time will be assigned generally on a first-come, first-served basis by the Operations Manager, yet subject to the following criteria.

·         Live programs or special events produced by ICTV will have precedence over pre-recorded programs.

·         Locally produced programs will have precedence over programs produced elsewhere.

·         Air time will be assigned to the appropriate channel based on content of the program.

 

In the event of disputes, the executive director will have the final determination over any conflicting preferences in these guidelines or dispute not covered by this manual.  Remaining disputes may be brought to the ICTV Board of Directors for resolution.

 

 

PUBLICITY

 

Individual producers or hosts may compose publicity pieces about their production to send to other media.  Approval of the news release, however, shall be cleared by the executive director. This is to ensure the dissemination of accurate information about production times, content, channels and potential underwriters.

 

ICTV staff may also prepare and disseminate information about regular or special programming on ICTV.  A regular schedule or programs appears on www.watchictv.org  and in the Sunday Herald-Review & Manney’s Shopper.

 


 

Access to equipment & facilities

ACCESS

Only current members may use access equipment.  In the event of a business or organization, a designee of the member group may reserve and use the equipment or studio facilities.  Access equipment and studio facilities are intended for non-commercial and non-profit use and any programs produced by or with access equipment may not be used for financial gain by an individual or group.  Access programs will result from the use of any access equipment. Access equipment shall not be loaned for personal projects.

 

Available equipment includes:

  • Mini-DV Cameras and batteries
  • Tripods
  • Wireless Microphones
  • Editing computer for titling

 

Requests to use access equipment or studio facilities shall be made at least one week prior to the requested date.  Individuals may call, write or email their request.  Access users must be trained or demonstrate an adequate proficiency on any ICTV access equipment before using the equipment. ICTV shall keep record of member training on file (See separate section on editing station training.

 

Access users will be responsible for and held liable for any loss or damage to access equipment while it is checked out in their name.  A parent or legal guardian must accept responsibility and liability for any access equipment loss or damage caused by a minor and may be required to sign a form accepting the responsibility. Access user privileges may be suspended or terminated by the executive director if the access user does not use and safeguard ICTV access equipment including setting up, operating, taking down, transporting or protecting access equipment.

 

Camera equipment and accessories will be checked out and returned on a timely basis in good working condition.  Editing equipment will not leave the studio.  Users are subject to additional training or proof of editing skills before being assigned editing equipment.  See addendum.

 

An access user may not identify him or herself as an employee or agent of ICTV unless he or she is acting in the capacity of an employee or agent at the direction of the executive director.

 

 

 

 

FEES

 

There shall be no charge for member use of access equipment or editing equipment to produce access programs.  Training for the editing station will require a $25 fee for materials. Access users will be responsible for their own expenditures including such items as travel, props, event admission charges etc.

 

AVAILABILITY

 

Availability of access equipment or ICTV studio facilities will generally be accorded on a first-come, first-served basis, but shall also be subject to the following criteria:

 

v      ICTV staff and volunteers in the course of scheduled ICTV business;

v      Second to current members of ICTV, Inc.

 

Access users who may be requesting inordinate amounts of time, thereby infringing on others’ use of access equipment, may be limited in their use by the executive director.

 

 

DISCIPLINARY ACTION

 

ICTV reserves the right for the operations manager or executive director to refuse services on a temporary or permanent basis or otherwise indicate suspensions of users interfering with or jeopardizing ICTV’s operations.  This shall include all policies and procedures under which ICTV provides equipment, training, facilities, channel time or other services.

 

ICTV may request that any person leave the premises immediately and/or surrender any ICTV equipment in their possession under any of the following situations:

  • The individual appears to be under the influence of drugs or alcohol or he/she consumes, sells or dispenses illegal substances in ICTV studios or offices.
  • The individual interferes with the orderly conduct of ICTV staff, activities, facilities or programs.
  • The person is under other user sanctions or disciplinary actions.

 

 

DISPUTES

 

 Individuals may appeal decisions of the executive director to the ICTV Board of Directors. A schedule of meeting days and times will be provided when requested.

 

 

EDITING STATION PROTOCOLS

 

ICTV is equipped with a video editing station that is available to the community.  The station includes the following hardware:

An editing computer,

Flat panel monitor,

Super VHS player/recorder,

DVD recorder,

MiniDV player/recorder,

Speakers and related software.

       

Use of this editing station requires the following:   

Proof and/or demonstration on experience with Adobe Premier Pro editing software and practices.  

        Or

In-house training with ICTV staff on basic editing, titling of videos using Adobe Premier Pro software.

 

The Operations Manager shall determine the breadth of experience an individual has with the editing station.  In-house training will be made available to all members. A $25 materials fee will be accessed to allow for copies of the training materials.

 

Training must be made in advance with the Operations Manager.  Classes may be scheduled to accommodate small groups.  Training may include successful completion of DVD-based training sessions.

 

Individuals who have been certified on the equipment may reserve time on the system in two-hour intervals during regular business hours.  Extended hours may be available upon request when other ICTV staff members are present.

 

The station is independent of the internet for volunteers. Individuals wishing to use web-based materials (for which they have rights) are encouraged to bring copies of the materials on alternate media.  No individual may download or store non-ICTV licensed software on the station, nor use it for activities other than producing public access programming. 

 

When not in use by volunteers, ICTV may use the station for internal projects.

 

 


 

 

Online Services

 

ICTV maintains a web site with several offerings to the public.  It is located at www.watchictv.org.  Its root site is www.watchictv.net.  The following categories explain the web components and their interactivity with ICTV’s online community.  Online services are subject to change.

Members have access to several parts.  There is a log-in available, too, for non-members which allows individuals to comment on blogs etc. 

Streaming Video

ICTV maintains a streaming video block.  It plays ICTV’s government channel  continuously.

 

Free Itasca Area Governments

This area is for all the government meetings for which ICTV has permission to air.  They are available here as video-on-demand links.

 

Premium ICTV Videos

These are ICTV productions that are available only to members who donated $60 or more annually.  Individuals who join on-line receive immediate access.  Current members must contact the office for a log-in.

 

News Videos

Video on demand of Weekly News in Review, Local Line and KOZY/KMFY news is available free of charge.

Community hotlinks

ICTV recognizes the work of its community in video production outside the ICTV realm on the Hotlinks connection.  These are links to videos stored by other services such as YouTube©.  These links typically are changed weekly.  ICTV welcomes suggestions for Hotlinks at ictvinc@mchsi.com.

 

Aggregated content

ICTV aggregates some community content including local and state news, the ICTV bulletin board and information about public access television.  ICTV also provides a block with pets available for adoption.  The recipe module provides ICTV recipes from programs such as Hobbies Inc and past Food Fun and Festivities shows.  Community members are welcome to submit a local recipe.

 

Other content

ICTV’s site also contains corporate information on the operations of ICTV.  The Board of Directors list and contact information is listed.  There is access to the Rules and Procedures.  The site also features video production details like those in this document.

 

Video production

 

ICTV offers video production services to members and the general public on a fee basis.  Funds raised through these efforts help off-set the operations of ICTV. 

 

All charges for video services will be charged at market rates (See the Schedule of Fees). Productions qualifying to air on ICTV shall receive a percentage reduction in fees.

 

Clients will be required to sign a video production agreement prior to work being done by ICTV. The agreement will set forth an estimate of all charges and timelines for completion.  Charges will be billed at actual time spent on the project. Clients shall be held responsible to retain all permissions to materials/locations recorded and talent in their production.

 

Generally, a three-week advance notice prior to the beginning of the project is requested to allow for proper staff scheduling to accomplish the production. 

 

 

UNDERWRITING

 

ICTV underwriting demonstrates support of the programming by allowing underwriting messages to be aired during scheduled programming.

 

ICTV divides its underwriting opportunities into three categories:  General Underwriting, Regularly Produced Programming; and Extraordinary Programming.  Each offers an opportunity for information and name recognition for the sponsoring business or agency. 

 

ICTV uses the following guidelines when establishing an underwriting message for programming:

  • ICTV underwriting generally follows guidelines established by the public broadcasting system, available online at http://www.pbs.org/producers/guidelines/onair_rule5.html
  • All underwriting spots are 15 seconds in length
  • Underwriters will receive a voice-over and video clip that identifies the sponsoring business or agency.  Logos or short static video clips may be used.
  • ICTV makes every effort to bundle no more than four sponsor spots in one underwriting segment
  • Each sponsor block shall be preceded with the phrase:  “Programming on Itasca Community Television, ICTV, is brought to you by the following community supporters”. In the event of a Regularly Produced or Extraordinary Programming, the phrase may indicate the specific program name, i.e. “The Tall Timbers Day Parade is brought to you by the following community supporters”.

 

Contracts for underwriting may be established through the executive director.

 

TYPES OF UNDERWRITING

 

GENERAL UNDERWRITING

This underwriting type is intended to support the overall objectives of public access cable television and the programming on ICTV.  Sponsors are recognized between regularly scheduled programming on all three ICTV channels. General underwriting allows supporting businesses/agencies the opportunity for a constant message and frequency with viewers on all three stations. 

 

REGULARLY PRODUCED PROGRAMMING

Underwriters, from time to time, may wish to support regularly produced programming on ICTV.  For current lists of regular programs, contact the executive director. The Underwriter will receive:

 

  • One 15-second sponsor spot at the beginning of each original airing program. 
  • No charge will be made for subsequent re-runs of the show.  Maximum number of underwriters per program shall be four per show. * 
  • Programs running one or more hours may have as many as eight underwriters of which half will receive one, 15 second ad at the beginning of the program and half at the end.

EXTRAORDINARY PROGRAMMING

As a supporter of the Itasca County region, ICTV may occasionally partner with other groups and media to produce extraordinary programming.  Typically these are one-time or short duration series. They normally receive a high volume of viewership based on the number of community members involved or the topic of the production.  ICTV also guarantees programmed re-runs of these programs for maximum viewership. 

 

Typically, such programming requires extraordinary production time, staff time and equipment to produce the shows.   ICTV retains the right to establish underwriting packages for these programs based on the production needs and costs.

   Duplication Services

ICTV provides VHS and DVD duplication services for a fee. See the Schedule of Fees.

 

ICTV shall not duplicate copyright materials for which a release is not obtained.

 

ICTV may discount duplication services contracted as part of a video production agreement.

 

Requests for duplications may be made either in person, by telephone or email.  Payment is due upon receipt. Clients with a record of non-payment may be requested to make payment in advance.

GLOSSARy

 

ACCESS CHANNEL—a non-commercial television channel authorized through member cities of the Greater Grand Rapids Area Cable Commission and administered by ICTV or deemed public access by the local cable operator.  Currently Mediacom Communications channels 2, 5, and 7 and Paul Bunyan Telephone Cooperative channels 32, 35 and 37 carry ICTV programming to the Itasca County region.

 

ACCESS EQUIPMENT—refers to any designated access audio or video equipment under the care of ICTV for access purposes and includes camera equipment, editing equipment and cable-casting equipment.

 

ACCESS PROGRAMMING—pre-recorded or live programs cablecast or to be cablecast on an access channel.  It also includes programs provided via internet and satellite.

 

ACCESS USER—refers to anyone who uses an access channel, access equipment or the ICTV studio.

 

AIR TIME—means the actual time of day that is used or proposed to be used for cablecasting access programming or community announcements on an access channel.

 

CAMERA EQUIPMENT—means the camera and associated equipment to be used in conjunction with its operation, such as batteries, tapes, electrical connections, lights, microphones, lens caps, eye guards, tripods, cases etc.

 

CURRENT MEMBER—any individual, family, business, or organization that has paid the required membership dues to ICTV.  Membership must be current.  Lapsed members will not be afforded membership benefits until their memberships have been reinstated.

 

EDITING EQUIPMENT—any computer equipment and software that is used to provide the editing of audio or videotape.

 

EXECUTIVE DIRECTOR—the person designated and hired by the Board of Directors to administer the daily management and administration of ICTV.

 

FRANCHISE FEE—a fee paid to a municipality by a cable provider.  It is set for in a franchise agreement guaranteeing access and conditions to the municipality.

 

POLITICAL CANDIDATE—any person who has announced his/her candidacy for public office in any primary, general or special election for municipal, county, state, national or school board office.

 

STUDIO—refers to the cablecast studio facility at ICTV.

 

SUPPORTER—any person or organization that has furnished ICTV with financial assistance, in-kind support or volunteerism, i.e., current members, underwriters, units of

government, foundations, educational districts, individuals, businesses, agencies, union, non-profit organizations, clubs and associations.

 

UNDERWRITER—any person, business, agency or organization that pays ICTV to be recognized as an underwriter of a program or series of programs.  An underwriter does not have to be a current member to sponsor a program.

 

VIDEO SERVICES—means any function that is within the capability of ICTV to perform in the areas of video production, editing, copying or cablecasting.

 

VOLUNTEER—means any person who contributes their time on a regular basis to video productions or other services on behalf of ICTV and at direction of the operations manager or executive director.

Arrangements and clearances have been obtained for any material obtained from broadcast stations, networks, sponsors, music licensing organizations, performers’ representatives and any other persons necessary to authorize transmission of program material on this cable television system’s access channel.

 

I understand that I assume full responsibility for any disputes arising from unauthorized use of copyrighted material and agree to hold ICTV, Inc. and its employees harmless in any such disputes.

 

I agree to pay the costs of any repairs to Access video equipment made necessary by abuse, theft, or careless handling while such equipment is in my possession.

 

I further acknowledge and agree that ICTV, its agents and employees, whether jointly or severally in its corporate of personal capacity, undertake no liability for damages, direct consequential or any other kind,  for their good faith acts or omissions taken in connection with the administration of these operating rules.
